Tom\u0113r parasti kreditors (aizdev\u0113js\/p\u0101rdev\u0113js) vienojas ar debitoru (aiz\u0146\u0113m\u0113ju\/pirc\u0113ju) par tam pie\u0146emamu saist\u012bbu izpildes nodro\u0161in\u0101jumu. \u00a0Apskat\u012bsim bie\u017e\u0101k izmantojamos iek\u0161zemes nodro\u0161in\u0101juma veidus \u2013 galvojums, banku garantijas, komerc\u0137\u012blas, hipot\u0113kas \u2013, un bie\u017e\u0101k izmantojamos p\u0101rrobe\u017eu dar\u012bjumu nodro\u0161in\u0101jumus.<\/strong><\/p>\n<p><strong>Galvojums un t\u0101 nianses<\/strong><\/p>\n<p>Galvojums vai galvojuma l\u012bgums praks\u0113 ir sal\u012bdzino\u0161i bie\u017ei izmantojams saist\u012bbu izpildi pastiprino\u0161s l\u012bdzeklis. Saska\u0146\u0101 ar CL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1695\" target=\"_blank\" rel=\"noopener\">1695.pantu<\/a>\u00a0galvojums sniedzams tikai rakstveida form\u0101, bet puses var izv\u0113l\u0113ties \u2013 to sl\u0113gt k\u0101 vienpus\u0113ju (paraksta tikai galvinieks) vai k\u0101 divpus\u0113ju dar\u012bjumu (paraksta gan galvinieks, gan kreditors). Past\u0101v divi galvojumu veidi:<\/p>\n<ul class=\"chevronCircle\">\n<li>ekspromisoriskais;<\/li>\n<li>neekspromisoriskais.<\/li>\n<\/ul>\n<p>Saska\u0146\u0101 ar CL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1702\" target=\"_blank\" rel=\"noopener\">1702.pantu<\/a>\u00a0ekspromisoriska galvojuma gad\u012bjum\u0101 galvinieks uz\u0146emas saist\u012bbas atbild\u0113t kreditoram k\u0101 pats par\u0101dnieks un atsak\u0101s no sav\u0101m ties\u012bb\u0101m pras\u012bt, lai kreditors vispirms v\u0113r\u0161as ar pras\u012bbu pie galven\u0101 par\u0101dnieka. T\u0101, iest\u0101joties saist\u012bbu izpildes termi\u0146am, kreditoram ir ties\u012bbas pras\u012bt par\u0101da samaksu uzreiz no galven\u0101 par\u0101dnieka un ekspromisorisk\u0101 galvinieka (abiem kop\u0101 vai katram atsevi\u0161\u0137i).<\/p>\n<p>Savuk\u0101rt neekspromisoriska galvojuma gad\u012bjum\u0101 galvinieks maks\u0101juma saist\u012bbu neuz\u0146emas k\u0101 pats par\u0101dnieks un neatsak\u0101s no sav\u0101m ties\u012bb\u0101m pras\u012bt kreditoram, lai kreditors vispirms ar pras\u012bbu v\u0113r\u0161as pie galven\u0101 par\u0101dnieka, un tikai p\u0113c tam \u2013 pie galvinieka.<\/p>\n<p>Galvot par citas personas saist\u012bb\u0101m var gan fizisk\u0101s, gan juridisk\u0101s personas. Ja galvojumu izsniedz juridisk\u0101 persona ar m\u0113r\u0137i nodro\u0161in\u0101t savas saist\u012bt\u0101s personas dar\u012bjuma izpildi, atbilsto\u0161i Komerclikuma (KL)\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/5490-komerclikums#p184_2\" target=\"_blank\" rel=\"noopener\">184.<sup>2<\/sup>pantam<\/a>, \u0161\u0101da dar\u012bjuma nosl\u0113g\u0161anai j\u0101sa\u0146em dal\u012bbnieku sapulces vai padomes (ja t\u0101da ir) piekri\u0161ana. KL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/5490-komerclikums#p184_2\" target=\"_blank\" rel=\"noopener\">184.<sup>2<\/sup>panta<\/a>\u00a07.da\u013ca nosaka, ka dar\u012bjums starp sabiedr\u012bbu un saist\u012bto personu nav sp\u0113k\u0101, ja nav iev\u0113rota noteikt\u0101 dar\u012bjuma sl\u0113g\u0161anas k\u0101rt\u012bba un saist\u012bt\u0101 persona zin\u0101ja vai tai vajadz\u0113ja zin\u0101t, ka dar\u012bjumam nepiecie\u0161ama padomes vai dal\u012bbnieku sapulces piekri\u0161ana.<\/p>\n<p>Ja rodas nepiecie\u0161am\u012bba groz\u012bt galven\u0101 par\u0101da l\u012bgumu, var rasties jaut\u0101jums \u2013 vai vienm\u0113r groz\u012bjumi nepiecie\u0161ami ar\u012b galvojuma l\u012bgum\u0101. Sen\u0101ts 2017.gada 11.decembra spriedum\u0101 liet\u0101 SKC-292\/2017 ir nor\u0101d\u012bjis, ka, ja p\u0113c galvojuma saist\u012bbas uz\u0146em\u0161an\u0101s kreditors un par\u0101dnieks vienojas par par\u0101da saist\u012bbu groz\u012b\u0161anu, tad galviniekam \u0161\u0101da saist\u012bbu groz\u012b\u0161ana ir saisto\u0161a tikai gad\u012bjumos, ja galvinieks tai ir piekritis. T\u0101tad galvinieku nesaista kreditora un par\u0101dnieka vieno\u0161an\u0101s, piem\u0113ram, par summu palielin\u0101jumu virs summas, par kuru galvinieks galvojis. Tom\u0113r, ja kreditors un par\u0101dnieks vienojas par t\u0101diem groz\u012bjumiem, kas galvinieka st\u0101vokli nepasliktina (piem\u0113ram, samazina par\u0101da summu), tad \u0161\u0101di pamatpar\u0101da groz\u012bjumi b\u016btu sp\u0113k\u0101 ar\u012b bez atsevi\u0161\u0137as galvinieka piekri\u0161anas.<\/p>\n<p>Savuk\u0101rt Sen\u0101ta 2017.gada 3.marta\u00a0<a href=\"https:\/\/www.at.gov.lv\/downloadlawfile\/5138\" target=\"_blank\" rel=\"noopener\">spriedum\u0101 liet\u0101 SKC-81\/2017<\/a>\u00a0ir nor\u0101d\u012bts, ka CL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1710\" target=\"_blank\" rel=\"noopener\">1710.pants<\/a>\u00a0nosaka, ka galvojums izbeidzas ar katru darb\u012bbu, kas dz\u0113\u0161 galveno saist\u012bbu, atsvabinot no t\u0101s par\u0101dnieku. Turpretim CL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1712\" target=\"_blank\" rel=\"noopener\">1712.pants<\/a>\u00a0nosaka, ka galvojums izbeidzas ar ikvienu notikumu, kas atsvabina galveno par\u0101dnieku, tom\u0113r tas nav attiecin\u0101ms uz fizisko un juridisko personu maks\u0101tnesp\u0113jas liet\u0101m, jo par\u0101dnieka atbr\u012bvo\u0161ana no saist\u012bb\u0101m maks\u0101tnesp\u0113jas proces\u0101 nav uzskat\u0101ma par galven\u0101 par\u0101dnieka atsvabin\u0101\u0161anu no saist\u012bb\u0101m (CL\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1710\" target=\"_blank\" rel=\"noopener\">1710.<\/a>\u00a0un\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/90220-civillikums-ceturta-dala-saistibu-tiesibas#p1712\" target=\"_blank\" rel=\"noopener\">1712.pants<\/a>). T\u0101d\u0113j\u0101di, ja ar tiesas l\u0113mumu tiek izbeigts galven\u0101 par\u0101dnieka fiziskas personas maks\u0101tnesp\u0113jas process, galvojums netiek izbeigts k\u0101 tas nor\u0101d\u012bts Sen\u0101ta 2016.gada 16.j\u016bnija\u00a0<a href=\"https:\/\/www.at.gov.lv\/downloadlawfile\/161\" target=\"_blank\" rel=\"noopener\">spriedum\u0101 liet\u0101 SKC-178\/2016<\/a>. T\u0101pat saska\u0146\u0101 ar Sen\u0101ta 2018.gada 21.novembra spriedumu liet\u0101 SKC-183\/2018 galven\u0101 par\u0101dnieka maks\u0101tnesp\u0113ja neliedz kreditoram v\u0113rsties ar pras\u012bbu tie\u0161i pret galvinieku, un apst\u0101klis, ka galvenajam par\u0101dniekam apstiprin\u0101ts saist\u012bbu dz\u0113\u0161anas pl\u0101ns, atbilsto\u0161i kuram tas veicis da\u013c\u0113ju saist\u012bbu izpildi kreditoram, neliedz kreditoram ties\u012bbas pras\u012bt neizpild\u012bto saist\u012bbu izpildi no galvinieka.<\/p>\n<p><strong>Banku garantija k\u0101 samaksas nodro\u0161in\u0101jums<\/strong><\/p>\n<p>Banku garantijas ir bie\u017ei sastopams saist\u012bbu pastiprin\u0101\u0161anas l\u012bdzeklis, kuru bankas pied\u0101v\u0101 atsevi\u0161\u0137a produkta veid\u0101 \u2013 pie\u0161\u0137irot zin\u0101mu limitu, kura ietvaros bankas klients var sa\u0146emt tam nepiecie\u0161am\u0101s garantijas (piem\u0113ram, avansa atmaksa garantijas, saist\u012bbu izpildes garantijas, garantijas laika garantijas u.\u00a0c.). Pie\u0161\u0137irt\u0101 garantiju limita ietvaros banku garantijas parasti tiek izsniegtas da\u017eu dienu laik\u0101 un ir sp\u0113k\u0101 no izsnieg\u0161anas dienas (bez papildu re\u0123istr\u0101cijas, kas nepiecie\u0161ama hipot\u0113ku un komerc\u0137\u012blu gad\u012bjumos) ar sal\u012bdzino\u0161i vienk\u0101r\u0161u izmanto\u0161anas proced\u016bru.<\/p>\n<p>Praks\u0113 ierasti banku garantiju tiesiskam regul\u0113jumam tiek piem\u0113roti Starptautisk\u0101s\u00a0tirdzniec\u012bbas pal\u0101tas vienotie noteikumi par piepras\u012bjuma garantij\u0101m (<em>International Chamber of Commerce Uniform Rules for Demand Guaranties<\/em><em>)<\/em>, jo Latvijas likumdo\u0161ana atsevi\u0161\u0137i neregul\u0113 banku izsniegt\u0101s piepras\u012bjuma garantijas. Vienotie noteikumi sniedz iesp\u0113ju garantijas tekstu saglab\u0101t \u012bsu un kodol\u012bgu, jo t\u0101 defin\u0113 pu\u0161u ties\u012bbas un pien\u0101kumus, taj\u0101 skaita nosaka b\u016btisk\u0101ko \u2013 garantija ir neatsaucama, pras\u012bba maks\u0101t nav apstr\u012bdama un garantij\u0101 min\u0113to l\u012bgumu noteikumi neietekm\u0113 garant\u0113t\u0101ja apmaksas saist\u012bbas. \u0160o un citu apsv\u0113rumu d\u0113\u013c banku garantijas ir pas\u016bt\u012bt\u0101ju iecien\u012bts maks\u0101juma nodro\u0161in\u0101juma veids.<\/p>\n<p>Lai sa\u0146emtu izmaksu saska\u0146\u0101 ar bankas izsniegtu garantiju, kas pak\u013cauta vienotajiem noteikumiem, garantijas sa\u0146\u0113m\u0113jam bank\u0101 iesniedzams tikai vienpus\u0113ji parakst\u012bts izmaksas piepras\u012bjums (un citi dokumenti, ja t\u0101di nor\u0101d\u012bti garantij\u0101), kuru bankai j\u0101izskata piecu darba dienu laik\u0101, p\u0101rbaudot tikai piepras\u012bjuma form\u0101lu atbilst\u012bbu garantijas tekstam un iesniedz\u0113ja ties\u012bbas p\u0101rst\u0101v\u0113t garantijas sa\u0146\u0113m\u0113ju. Vienotie noteikumi nosaka, ka bankai nav j\u0101p\u0101rbauda garantijas nodro\u0161in\u0101to saist\u012bbu neizpilde, un pas\u016bt\u012bt\u0101ja un izpild\u012bt\u0101ja str\u012bdi par l\u012bguma saist\u012bbu izpildi neietekm\u0113 garantijas summas izmaksu.<\/p>\n<p>Iev\u0113rojot banku garantiju sal\u012bdzino\u0161i vienk\u0101r\u0161o izmanto\u0161anas proced\u016bru, ar\u012b Latvijas Finan\u0161u nozares asoci\u0101cija iesaka kred\u012btiest\u0101d\u0113m vienoto noteikumu piem\u0113ro\u0161anu izsniedzamaj\u0101m garantij\u0101m. Sav\u0101s vadl\u012bnij\u0101s \u201cKred\u012btiest\u0101\u017eu sniegto garantiju, izzi\u0146u un apliecin\u0101jumu izmanto\u0161ana iepirkumos\u201d t\u0101 sniedz ieteikumus garantiju tekstos iek\u013caujamai inform\u0101cijai un bie\u017e\u0101k izmantojamo garantiju tekstu piem\u0113rus:<\/p>\n<ul class=\"chevronCircle\">\n<li>pied\u0101v\u0101juma nodro\u0161in\u0101juma garantijas;<\/li>\n<li>l\u012bguma izpildes garantijas;<\/li>\n<li>avansa maks\u0101juma garantijas;<\/li>\n<li>laika garantijas;<\/li>\n<li>rezerves (ietur\u0113juma) maks\u0101juma garantijas).<\/li>\n<\/ul>\n<p>Puses var vienoties par citu, pus\u0113m pie\u0146emamu garantijas tekstu.<\/p>\n<p>Piebilstams, ka pied\u0101v\u0101juma nodro\u0161in\u0101juma un\/vai saist\u012bbu izpildes nodro\u0161in\u0101juma snieg\u0161anas k\u0101rt\u012bba ir noteikta ar\u012b Publisko iepirkumu likuma\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/287760-publisko-iepirkumu-likums#p50\" target=\"_blank\" rel=\"noopener\">50.pant\u0101<\/a>\u00a0un Sabiedrisko pakalpojumu sniedz\u0113ju iepirkuma likuma\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/216076-sabiedrisko-pakalpojumu-sniedzeju-iepirkumu-likums#p27\" target=\"_blank\" rel=\"noopener\">27.pant\u0101<\/a>. Iepirkumu organiz\u0113t\u0101jiem uzman\u012bba v\u0113r\u0161ama uz \u0161ajos likumos nor\u0101d\u012btiem tr\u012bs alternat\u012bviem pied\u0101v\u0101juma nodro\u0161in\u0101juma un saist\u012bbu izpildes nodro\u0161in\u0101juma veidiem:<\/p>\n<ul class=\"chevronCircle\">\n<li>bankas garantija;<\/li>\n<li>apdro\u0161in\u0101\u0161anas polise;<\/li>\n<li>naudas iemaksa pas\u016bt\u012bt\u0101ja kont\u0101 (ja to nosaka iepirkuma proced\u016bra).<\/li>\n<\/ul>\n<p>Uz min\u0113t\u0101m\u00a0 norm\u0101m un to izpildi, kas iepirkumos pretendentam nodro\u0161ina izv\u0113les iesp\u0113jas pied\u0101v\u0101juma vai saist\u012bbu izpildes nodro\u0161in\u0101jumu iesniegt vai nu bankas garantiju vai apdro\u0161in\u0101\u0161anas polisi, nor\u0101da ar\u012b Iepirkumu uzraudz\u012bbas birojs un Centr\u0101l\u0101 finan\u0161u un l\u012bgumu a\u0123ent\u016bra.<\/p>\n<p><strong>Komerc\u0137\u012blas un to priek\u0161meti<\/strong><\/p>\n<p>Komerc\u0137\u012bla ir \u0137\u012blas ties\u012bba uz kustamu mantu, kas\u00a0<a href=\"https:\/\/likumi.lv\/ta\/id\/50685\">Komerc\u0137\u012blas likuma<\/a>\u00a0noteiktaj\u0101 k\u0101rt\u012bb\u0101 re\u0123istr\u0113ta Uz\u0146\u0113mumu re\u0123istra Komerc\u0137\u012blu re\u0123istr\u0101.
