COBALT successfully represented OLYMPIC ENTERTAINMENT GROUP AS in litigation over fair compensation for the takeover of minority shareholders’ shares.

The complex, large-scale dispute lasted more than seven years, involved compensation worth tens of millions of euros and ended with the minority shareholders’ claims against our client being dismissed in full.

The dispute centered around the valuation of the company. The courts unanimously found that the majority shareholder had correctly determined the compensation paid, it reflected the actual value of the shares and the compensation was fair. The proceedings also resolved several fundamental and precedent-setting legal questions on the squeeze-out of shares in a publicly listed company.

The client was represented in the court proceedings by Managing Associate Kristina Schotter and Partners Annika Peetsalu and Jaanus Mody. The team also included Partner Marina Kotkas, Managing Associate Tõnu Kolts, Senior Associates Heivo Reinek, Laura Viira and Henri Hansson and Assistant Lawyer Kertu Kristal.
