Elis Toim is a Senior Associate at COBALT Estonia. She is mainly specialized in mergers and acquisitions (M&A) and commercial law.
Elis advises clients on domestic and cross-border M&A and corporate transactions across a broad range of industries, including technology, retail and wholesale, and energy. Her experience encompasses share and asset acquisitions, venture capital and private equity investments, divestments, corporate restructurings and other strategic transactions. She regularly advises on complex multi-jurisdictional transactions involving international investors and cross-border deal teams. She has also advised founders, investors and emerging growth companies on numerous fundraising transactions in the start-up sector.
She advises clients throughout all stages of M&A and investment transactions, from transaction structuring and legal due diligence to the preparation and negotiation of transaction documentation, signing, closing and post-closing implementation. In addition, she advises on a wide range of corporate law matters, including corporate governance, shareholder arrangements, corporate reorganisations and general corporate advisory matters.
Elis holds a master’s degree from the University of Tartu. She further developed her expertise in M&A as an exchange student at the University of Vienna. In addition, Elis has contributed to the development of future legal professionals by mentoring law students at the University of Tartu.
