Renalfa DC GmbH, part of the Renalfa Solarpro Group, has completed the acquisition of 100% of the shares in UAB Vole and will develop one of the largest data centre projects in Lithuania – a 250 MW data centre in Vilnius district.

The project covers land plots with a total area of approximately 14.71 hectares and represents a significant investment in Lithuania’s growing data centre infrastructure.

The highly structured cross-border transaction involved entities in Lithuania, Austria and Bulgaria and required the coordination of several interdependent workstreams. These included foreign direct investment clearance under Lithuania’s national security legislation, transaction structuring and negotiations, land acquisition matters, the assignment of claim rights and arrangements for the further development of the project.

The parties also agreed on the framework for the post-closing development of the project, including obtaining Large Project Status under Lithuanian law and advancing the data centre through to its commercial operation date.

COBALT advised Renalfa DC GmbH throughout the transaction, including legal due diligence, negotiation of the share purchase agreement, the regulatory clearance process and the preparation of all related transaction documentation.
